Terms of Service

1. Seller and contracting party

PalletIQ AI ("PalletIQ", "we", "us", or "our") is operated by Chris Slater, an individual seller based in Michigan, United States (the "Seller"). By accessing or using PalletIQ AI, you are contracting with Chris Slater and agree to these Terms of Service.

2. Acceptance

By creating an account, uploading a manifest, subscribing, or otherwise using the service, you agree to these Terms. If you use the service for a business, you represent that you have authority to bind that business. If you do not agree, do not use PalletIQ AI.

3. The service

PalletIQ AI provides AI-assisted liquidation manifest analysis, resale value estimates, bid recommendations, marketplace listing generation, watchlists, calculators, educational content, and related reseller tools. Outputs are informational estimates and do not guarantee resale value, profit, sell-through speed, or any purchase outcome.

You must provide accurate account information, keep it updated, maintain the confidentiality of your login credentials, and remain responsible for activity under your account.

6. AI outputs and reseller decisions

PalletIQ AI uses AI models and market assumptions to generate analyses, bid guidance, and product listing copy. Outputs may be inaccurate, incomplete, outdated, or unsuitable for your specific marketplace. You are responsible for reviewing prompts, uploaded content, generated outputs, listing accuracy, product condition, marketplace compliance, and all bidding, purchasing, pricing, tax, legal, and resale decisions. PalletIQ AI does not provide financial, investment, legal, tax, or professional advice.

7. User content and intellectual property

You retain ownership of manifests, product data, and other content you upload. You grant us a limited license to host, process, transmit, and display that content solely to provide, secure, support, and improve the service. You are responsible for having the rights needed to upload and use that content.

The service, including software, design, prompts, workflows, documentation, branding, and platform content, is owned by the Seller and licensors. Subject to these Terms and your selected plan, you receive a limited, non-exclusive, non-transferable right to use the service for your internal liquidation buying and reselling operations.

8. Payments, subscriptions, cancellations, and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.Payment, billing, tax, cancellation, renewal, and refund mechanics are governed by the Paddle Buyer Terms and our Refund Policy.

Paid subscriptions renew automatically unless cancelled. You can cancel at any time through the billing portal or by contacting Paddle. Access continues through the end of your current paid billing period.

9. Service availability

We aim to keep PalletIQ AI reliable, but we do not guarantee uninterrupted, secure, or error-free operation. We may modify, suspend, or discontinue features at any time.

10. Suspension and termination

We may suspend or terminate access for material breach, non-payment, suspected fraud, security risk, unlawful use, or repeated or serious policy violations. When access ends, your right to use the service ends; we may retain or delete account data according to our Privacy Policy and legal obligations.

11. Disclaimers

To the fullest extent permitted by law, PalletIQ AI is provided "as is" and "as available" without implied warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of outputs.

12. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the service is limited to the fees you paid for PalletIQ AI in the twelve months before the claim. We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost inventory value, or loss of goodwill. Nothing limits liability that cannot be limited by law, including fraud, death, or personal injury caused by negligence.

13. Indemnity

You agree to indemnify and hold harmless the Seller from claims, losses, liabilities, damages, and expenses arising from your uploaded content, marketplace listings, unlawful use, infringement, breach of these Terms, or violation of third-party rights.

14. Changes to these Terms

We may update these Terms from time to time. Continued use after changes take effect means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict of law rules. Disputes will be resolved in the state or federal courts located in Michigan, unless consumer law requires otherwise.
